The Legal Counsel – Experience Associate will serve as a specialist in corporate affairs lawyer within the Office of the General Counsel, supporting Deloitte Middle East’s internal legal, governance, and entity management requirements.

Key Responsibilities

Corporate Affairs (Primary Focus)

Lead and manage entity-related legal matters including:

• Company formation, internal restructurings, liquidations, and reorganizations.
• Entity structuring and restructuring matters, including changes to ownership, partners, directors, managers and authorized signatories.
• Ongoing entities lifecycle activities.
• Prepare, review and maintain corporate and governance documentation, including:
• Draft, review, and manage board, partner, and management resolutions (written, circular and ad hoc).
• Power of Attorney, authorized signatory mandates and delegations of authority.
• Corporate approvals required for banking, regulatory and operational purposes.
• Review and implement amendments to constitutional documents, including:
• MoAs, AoAs, Bylaws, Partnership Agreements, and internal governance documents.
• Updates arising from change in law, regulatory requirements or entity restructuring.
• Coordination of execution, notarization and filing of amended constitutional documents with the respective authority.
• Statutory and Regulatory Corporate Filings:
• Ensure ongoing corporate compliance with statutory, regulatory, and internal governance requirements across multiple jurisdictions in the Middle East.
• Oversee entity records, filings, and corporate databases, ensuring accuracy, consistency, and audit readiness.
• Coordinate closely with Risk, Compliance, Partner Affairs, and Leadership on firm-wide governance matters.

Regulatory, Licensing & Compliance

• Monitor legislative and regulatory developments affecting corporate structures and professional services firms in the region.
• Ensure adherence to Deloitte Middle East governance frameworks, global policies, and compliance standards.
• Support internal reviews, regulatory inquiries, and corporate audits.

Contracting & Leasing (Supporting Capability)

• Draft, review, and negotiate commercial contracts, including service agreements, NDAs, supplier agreements, and internal firm arrangements.
• Provide legal support on leasing matters (office Lease Agreements, amendments, renewals, and terminations).
• Identify contractual risks and ensure alignment with corporate governance, compliance, and risk management requirements.

General Legal Support

• Operate primarily as a corporate affairs and governance lawyer, while providing generalist support on firm internal matters when required, in line with business needs and team priorities.
• Contribute to the development of standard templates, corporate playbooks, and governance frameworks.
• Support firm-wide legal initiatives aimed at strengthening operational efficiency, risk control, and regulatory compliance.

Qualifications

• Law degree (LLB or equivalent) from a recognized university.
• Minimum 5 years of post-qualification experience with a strong focus on corporate affairs, company secretarial, and governance matters, ideally in a corporate environment, a law firm, a professional services firm, or in-house legal team.
• Proven experience in:
• Corporate affairs, governance and entity lifecycle management
• Company setup, restructuring, and liquidation
• Regulatory licensing and statutory filings
• Drafting resolutions, powers of attorney, and corporate documentation
• Commercial contracts and leasing
• Experience in a multi-jurisdictional or Middle East regulatory environment is highly desirable.
• Deep knowledge of corporate law, governance, and regulatory compliance.
• Strong drafting and document management capabilities.
• Excellent organizational skills with high attention to detail.
• Ability to manage multiple corporate matters across jurisdictions.
• Strong stakeholder management and communication skills.
• Professional judgment, discretion, and commitment to confidentiality and ethics.
• Pragmatic, solution-driven approach within a fast-paced professional services environment.
• Fluency in Arabic and English (written and spoken) is mandatory.
